HRDRV Sync & Song Placement Terms of Service
Effective Date: January 1, 2025
By uploading or submitting any musical compositions or instrumentals ("Content") to HRDRV Inc. ("HRDRV"), you ("Songwriter" or "you") agree to the following Non-Exclusive Sync & Song Placement Terms of Service.
For the purposes of these Terms, “uploading” or “submitting” Content to HRDRV includes, but is not limited to, any of the following actions:
  • Emailing files directly to an @hrdrv.com email address
  • Uploading or sending links via platforms such as DISCO.ac, Dropbox, Google Drive, or similar file-sharing services
  • Texting audio files or links to HRDRV team members or authorized representatives
  • Any other method by which Content is delivered to HRDRV for the purpose of consideration or pitching
While placements are not guaranteed, you will always be notified and compensated according to the following terms.
Purpose
These Terms govern all Content you submit to HRDRV for the purpose of pitching, placement, and monetization opportunities across sync, brand, artist, and third-party partnerships.
Why We Do This
At HRDRV, our mission is simple: to give great music the platform it deserves. We’re here to champion artists whose work might otherwise be overlooked – not because it lacks quality, but because it lacks access. By pitching directly to decision-makers and building genuine industry relationships, we’re creating new paths for music to be heard, seen, and placed. While we can’t guarantee placements, we can guarantee to push your music with the same passion and urgency you do, and to create real opportunities for your success.
1. Definitions
Content
Any musical work (including instrumental or vocal recordings) submitted to HRDRV for consideration.
Composition
The underlying musical work and/or sound recording of any submitted Content.
Submission
Any act of delivering, uploading, or sending Content to HRDRV via email, portal, form, or file transfer, with the intent for consideration.
HRDRV-Facilitated Usage
A synchronization or placement opportunity directly secured, negotiated, or initiated by HRDRV on behalf of the Songwriter.
Independent Usage
A placement, license, or usage of the Composition that was secured by the Songwriter or any third party not affiliated with HRDRV.
Advance Fees
Any upfront payment made by a licensee for the use of a Composition.
Publishing Share
The portion of performance and mechanical royalties typically held by the publisher, separate from the songwriter's writer share.
Writer Share
The portion of publishing income legally reserved for the songwriter as the author of the Composition.
PRO
Performing Rights Organization (e.g., ASCAP, BMI, SESAC, SOCAN, etc.) responsible for collecting performance royalties.
2. Grant of Rights
By submitting Content to HRDRV, you grant HRDRV the non-exclusive right to shop, pitch, promote, use, and perform your submitted Content across HRDRV channels and to third parties for placements in TV, film, advertising, branding, artist collaborations, and other commercial uses. We will never sell, distribute, or monetize your music without your acknowledgement and mutually agreed-upon terms to ensure you are properly compensated.
  • This grant applies only to Content you voluntarily submit.
  • HRDRV is not required to disclose the specific third parties, companies, or individuals to whom it pitches your music.
  • Direct communication or contact between Songwriters and HRDRV’s pitching contacts or clients is not permitted unless explicitly authorized by HRDRV.
  • HRDRV maintains sole discretion over pitching strategy, timing, and communication with industry partners.
  • While HRDRV may occasionally engage third parties, we are fortunate to have our own extensive direct industry connections, which is a distinct advantage for our songwriters.
  • HRDRV does not claim any rights to your full catalog or to Content not explicitly submitted.
  • All placements are non-exclusive unless otherwise agreed in writing.
3. Compensation & Revenue Split (HRDRV-Facilitated Placements Only)
If HRDRV secures a usage of your submitted Composition:
Licensing/Advance Fees
This is a true partnership — HRDRV puts in serious work pitching, negotiating, and securing placements for your music. When we land placements with major artists or licensors, advances will include producer fees where applicable.
All licensing and advance fees are split 50% to HRDRV and 50% to you, the Songwriter.
Publishing Rights
  • You always retain 100% of your writer's share.
  • If you have a registered publisher: Co-publishing is split 50% HRDRV / 50% Songwriter's Publisher for that usage.
  • If you’re self-published, HRDRV will retain 100% of the publisher’s share for placements we facilitate until you set up your own publishing entity with a PRO or administrator. We strongly encourage you to do this—it’s usually free and key to claiming your full publishing income. After you notify us at [email protected] with your new publishing info, we’ll begin the registration update within 30 days (corrections can take up to 120 days, this is outside of our control). This applies moving forward only and does not affect royalties already collected by HRDRV.
Payment Timeline
HRDRV will remit your portion of fees via direct deposit within five (5) business days of receiving payment.
Payment Terms:
  • Payments for placements typically arrive 3 to 9 months after the official airdate. This timeline is standard industry practice and depends on when networks and partners issue payments, which is beyond HRDRV’s control.
  • Publishing income through PROs (Performance Rights Organizations) is outside of our control and can take up to 12 months or longer to reach you.
  • Most labels and licensors pay production fees on Net-90, Net-120, or longer terms — meaning payments can be delayed accordingly.
  • Once HRDRV receives payment, we will remit your share (50%) via direct deposit within five (5) business days.

These terms apply only to HRDRV-Facilitated Usages. Placements obtained independently by you or through another party are not subject to any HRDRV share.
4. Notifications & Communication
You will be notified of any confirmed placements via email.
If HRDRV is unable to contact you after reasonable attempts, we may accept payment on your behalf and hold it until contact is re-established.
Once contact is made, funds will be paid out within fourteen (14) days.
5. Opt-Out Policy
To exclude specific songs from pitching, promotion, or placement opportunities, email [email protected] with the song title(s) you wish to exclude.
6. Term & Termination
These Terms remain in effect until terminated.

You may revoke HRDRV's rights to pitch a specific Composition with thirty (30) days written notice

HRDRV may also cease pitching efforts for a Composition with thirty (30) days notice

Termination does not affect existing licenses or pending negotiations already in motion
7. Usage-Based Rights Clarification
All Compositions are typically registered under a single work title with a PRO. However, HRDRV's participation is limited to specific usages it directly facilitates.
HRDRV-Facilitated Usage
If HRDRV places your Composition in a specific show, ad, or campaign, HRDRV is entitled only to publishing and fees associated with that specific usage.
Independent Usage
If the same Composition is used in a different context (e.g., placed in another show, cut by another artist, or licensed by a brand independently), HRDRV has no claim to publishing, revenue, or rights for that separate usage.
You are free to pursue and place your Compositions independently outside of HRDRV.
8. Entire Agreement & Modifications
These Terms represent the entire understanding between you and HRDRV regarding submitted Content and supersede all prior communications.
HRDRV reserves the right to modify or update these Terms at any time. Continued submission of Content after changes have been published will constitute your acceptance of the updated terms.
9. Acceptance of Terms
By submitting any Content to HRDRV, you acknowledge that:
You are the rightful owner (or authorized representative) of the Composition(s)
You have the authority to grant the rights outlined above
You agree to be bound by these Terms of Service

HRDRV AI Usage Policy
Amendment: September 20, 2025
Permitted:
  • AI-assisted voice transformation only (for major artist pitching opportunities) — Original, human-performed acapellas may be processed using AI tools (e.g., male-to-female vocal shifts) where the human performance remains the core creative input. In this case, the major artist will re-sing the vocals if placed.
  • Instrumentals must be human-created using professional digital audio workstations (DAWs) such as Logic Pro, FL Studio, Pro Tools, or similar. No fully AI-generated instrumental productions are allowed.
  • HRDRV may use AI platforms (Suno, Kits.ai, etc.) only to process vocals for transformations like pitch, tone, or style adjustments or to create reference production styles for sync purposes. We never upload instrumentation or full productions to these tools, only acapellas for vocal transformation. Any production or arrangement changes are recreated from scratch by you, your team, or HRDRV under full human oversight. Vocal uploads are strictly for transforming the original human performance’s tone or pitch when a specific vocal character is needed.
Prohibited:
  • Fully AI-generated productions lacking meaningful human creative input.
  • AI-generated vocals or productions for sync opportunities. We cannot place AI vocals or productions in TV/film/brand/video games.
  • AI-generated lyrics or melodies created solely by AI without human authorship.
  • AI-generated voices created without a human performing or guiding the process.
Rationale:
Due to the complex and unsettled legal landscape around AI-generated music and platform licensing, HRDRV maintains a clear policy prioritizing human-led creativity. This protects all parties involved and preserves the authentic artistry that defines our music community. AI is welcomed as a tool to enhance creativity, but not as a replacement for human expression.
